1Introduction
Welcome to IRVx Softwork Labs ("Company", "we", "our", "us"). By accessing or using our website, proprietary software, and related services (collectively, the "Services"), you agree to comply with and be bound by these Terms & Conditions ("Terms").
If you are entering into these Terms on behalf of a company, healthcare organization, or other legal entity, you represent that you have the authority to bind such entity to these Terms. If you do not agree to these Terms, you must not access or use the Services.
2Intellectual Property Rights
The Service and its original content (excluding Content provided by users), features, and functionality are and will remain the exclusive property of IRVx Softwork Labs and its licensors. The Service is protected by copyright, trademark, and other laws of both the United States and foreign countries.
License to Use: Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Services for your internal business operations.
- You may not copy, modify, distribute, sell, or lease any part of our Services.
- You may not reverse engineer or attempt to extract the source code of our software.
- "IRVx", the IRVx logo, and other marks are trademarks of IRVx Softwork Labs.
3. No Medical Advice
IRVx Softwork Labs provides software solely for administrative, operational, and data management purposes. Our Services do not constitute medical advice, diagnosis, or treatment.
You acknowledge that the professional duty to the patient in providing healthcare services lies solely with the healthcare provider. The Services are not intended to be a substitute for professional medical judgment. Always seek the advice of your physician or other qualified health provider with any questions you may have regarding a medical condition.
4Acceptable Use
You agree not to misuse the Services. For example, you must not, and must not attempt to:
- • Probe, scan, or test the vulnerability of any system or network.
- • Breach or otherwise circumvent any security or authentication measures.
- • Access, tamper with, or use non-public areas of the Service.
- • Interfere with or disrupt any user, host, or network (e.g., sending a virus).
- • Maintain the confidentiality of your account credentials.
- • Notify us immediately of any unauthorized use of your account.
- • Ensure all data uploaded complies with applicable laws.
- • Use the service only for lawful purposes.
5Confidentiality & HIPAA Compliance
We understand the sensitive nature of the data you may process using our Services.
5.1 Confidential Information
"Confidential Information" means all information disclosed by a party ("Disclosing Party") to the other party ("Receiving Party"), whether orally or in writing, that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure.
5.2 HIPAA & PHI
If you are a Covered Entity or Business Associate under HIPAA, and you use the Service to create, receive, maintain, or transmit Protected Health Information (PHI), the parties agree to enter into a Business Associate Agreement (BAA). In the event of any conflict between the terms of these Terms and the BAA, the terms of the BAA shall control with respect to PHI.
6Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL IRVX SOFTWORK LABS, ITS AFFILIATES, AGENTS, DIRECTORS, EMPLOYEES, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE USE OF, OR INABILITY TO USE, THIS SERVICE.
UNDER NO CIRCUMSTANCES WILL IRVX SOFTWORK LABS BE RESPONSIBLE FOR ANY DAMAGE, LOSS, OR INJURY RESULTING FROM HACKING, TAMPERING, OR OTHER UNAUTHORIZED ACCESS OR USE OF THE SERVICE OR YOUR ACCOUNT OR THE INFORMATION CONTAINED THEREIN.
7Dispute Resolution
Governing Law: These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.
Arbitration: Any dispute arising from or relating to the subject matter of these Terms shall be finally settled by arbitration in San Francisco, California, using the English language in accordance with the Arbitration Rules and Procedures of JAMS then in effect, by one commercial arbitrator with substantial experience in resolving intellectual property and commercial contract disputes.
